1. Introduction

Welcome to TerraFuse! By hosting TerraFuse’s electric vehicle (EV) charging stations on your property, you agree to the following terms and conditions. These terms govern your use of our services and partnership with TerraFuse.

2. Definitions

  • “Charging Stations” refers to the EV charging equipment and associated software provided by TerraFuse.
  • “Site Host” refers to the property owner or manager who agrees to host TerraFuse’s EV charging stations.
  • “Services” refers to the installation, operation, maintenance, and management of EV charging stations provided by TerraFuse.

3. Installation and Maintenance

  • Installation: TerraFuse will conduct a zero-cost site inspection and oversee the installation of the Charging Stations at a time convenient for both parties.
  • Maintenance: TerraFuse will provide zero-cost maintenance and ensure the Charging Stations are fully operational. Any issues will be addressed promptly by our team.

4. Usage and Management

  • Ownership: The Charging Stations are owned, operated, and maintained by TerraFuse. As a Site Host, you do not own the Charging Stations but provide space for their installation.
  • Management: TerraFuse will manage the Charging Stations, including any scheduling and usage through our dedicated app.

5. Responsibilities of Site Host

  • Access: The Site Host must provide TerraFuse with necessary access to the property for installation, maintenance, and any other required activities.
  • Compliance: The Site Host agrees to comply with all relevant laws and regulations related to the installation and use of EV charging stations.

6. Liability

  • Insurance: TerraFuse maintains comprehensive insurance to cover any potential damage caused by the Charging Stations. The Site Host should maintain their own insurance for property damage unrelated to the Charging Stations.
  • Indemnification: The Site Host agrees to indemnify and hold TerraFuse harmless from any claims, liabilities, or damages arising from the Site Host’s use of the Charging Stations, except those arising from TerraFuse’s negligence.

7. Termination

Termination by Either Party: Either party may terminate this agreement with 30 days’ written notice. Upon termination, TerraFuse will remove the Charging Stations and restore the site to its original condition.

8. Confidentiality

Confidential Information: Both parties agree to keep confidential any proprietary or sensitive information shared during the term of this agreement.

9. Amendments

Changes to Terms: TerraFuse reserves the right to amend these terms and conditions. Any changes will be communicated to the Site Host, and continued hosting of Charging Stations will be considered acceptance of the new terms.

10. Governing Law

Jurisdiction: These terms and conditions are governed by the laws of New South Wales, Australia. Any disputes arising from this agreement will be resolved in the courts of New South Wales.
